The September 15 deadline applies to calendar-year:
- Form 1065 Partnership Returns
- Form 1120-S S Corporation Returns
Missing the September 15 extension deadline can be costly, even for businesses that do not owe tax.
For 2025 partnership returns (Form 1065), the late-filing penalty is $255 per partner for each month or part of a month the return is late, for up to 12 months. With multiple partners, that penalty can add up quickly.
For 2025 S corporation returns (Form 1120-S), the late-filing penalty is $255 per shareholder for each month or part of a month the return is late, for up to 12 months. This penalty can apply even when the S corporation owes no tax.
